Globalcitizen – Terms of Service
Please read these Terms of Service of Globalcitizen (hereinafter the “Globalcitizen Terms” or “Globalcitizen Terms of Service“) carefully as they govern (i) your access to and use of our Site(s), (ii) your access to and use of our Application(s), and/or (iii) your access to and use of our services that link to or refer to the Globalcitizen Terms, and contain important information about your legal rights, remedies and obligations. The Site and other Globalcitizen services together are hereinafter collectively referred to as the “Globalcitizen Digital Platform“. By accessing or using the Globalcitizen Digital Platform, you are agreeing to the Globalcitizen Terms and entering into a legally binding contract with Globalcitizen, whether or not you become a registered user of the Globalcitizen Digital Platform. Certain areas of the Globalcitizen Digital Platform may have different terms and conditions, standards, guidelines, or policies posted, or may require you to agree with and accept additional terms and conditions. If there is a conflict between the Globalcitizen Terms and the terms and conditions posted for a specific area of the Globalcitizen Digital Platform, the terms and conditions that are specific to that area will prevail with respect to the use of, or access to, that area of the Globalcitizen Digital Platform.
You may be referred to in this Globalcitizen Terms as “you” or “your“, or may be referred to specifically in your applicable role as a Company or an Authorized User (each as defined below). If you are entering into this Globalcitizen Terms on behalf of a company or other legal entity (such company or legal entity, the “Company“), the Globalcitizen Terms shall be a binding agreement between Globalcitizen and the Company that you represent, and you represent that you have the authority to bind such Company, its users, and its affiliates to the Globalcitizen Terms. In that case, the terms “you” or “your” shall also refer to such entity, its users, and its affiliates, as applicable. If you do not have such authority, or if you do not agree with the Globalcitizen Terms, you may not use the Service. If you are entering into this Globalcitizen Terms as an individual and not on behalf of a company or other legal entity, the Globalcitizen Terms shall be deemed a binding agreement between Globalcitizen and you personally. You acknowledge that the Globalcitizen terms is a contract between you and Globalcitizen, even though it is electronic and is not physically signed by you and Globalcitizen, and it governs your use of the Service.
Do not access or use the Globalcitizen Digital Platform if you are unwilling or unable to be bound by the Globalcitizen Terms.
“Globalcitizen“, “we“, “us“, or “our” means (i) Globalcitizen Holding Limited UK, with respect to Members that access and use the Globalcitizen Service.
“Member Content” means all content, such as text, photos, audio, video, or other materials and information, that a Member posts, uploads, publishes, submits, transmits, includes in their Member profile and Globalcitizen Learning Spaces (Digital Classrooms).
“Sites” means Globalcitizen’s websites, including but not limited to www.globalcitizendigital.com as well as other Globalcitizen Retail Associates/Partners websites worldwide.
“Globalcitizen Content” means any content that Globalcitizen creates and makes available in connection with the Globalcitizen Digital Platform, including proprietary Globalcitizen content and any content licensed or authorized for use by or through Globalcitizen from a third party, but excluding Member Content.
“Globalcitizen Service” or “Lesson Package” means the educational service as a whole (Suite and Educational Program) offered by the Globalcitizen Educational Organization through its retail Associates and Partners Network Worldwide and delivered by Teachers to Students through the Globalcitizen Digital Platform.
“Teacher Service” means the educational service provided by the Teacher to the Student/s (in most cases Globalcitizen Services / Lesson Packages) and delivered through the Globalcitizen Digital Platform.
“Globalcitizen Retail Associate” or “Globalcitizen Retail Partner” means local retail representatives of the Globalcitizen Educational Organization worldwide, authorized to advertise, promote and sell the Organization’s educational services to Students (Globalcitizen Services – Lesson Packages).
“Student” means a Member that purchases Globalcitizen and Teacher Services.
“Teacher” means a Member that offers and delivers Globalcitizen and Teacher Services.
“Globalcitizen Learning Space” means the online learning space (digital classroom) provided on the Globalcitizen Digital Platform for the delivery and support of every Globalcitizen Service/Lesson Package and Teacher Service bought by the Student/s.
1. The Globalcitizen Educational Organization
Globalcitizen (Globalcitizen Holding LTD UK) is an International Educational Organization specializing primarily on Language Learning and IT Training, providing its services through a digital network of Partners and Associates Worldwide.
It is run by academic professionals’ specialists in their field, supported by a strong management team of technocrats that cover all areas of the business: marketing, sales promotion, technical support, as well as financial and legal services.
Globalcitizen Academic & Professional Status
The Organization has developed and possesses unique academic expertise, as well as top level professional know how in research and development, breakthrough learning methods and pedagogic approaches, course design models, materials development and specialized courses for online learning, in order to address all age group needs and learning purpose worldwide: communicative, educational, cultural, academic or vocational. Students are also awarded certificates and diplomas of international recognition.
Globalcitizen Educational System
The Organization is also the creator of Globalcitizen®, an international breakthrough educational system, designed for the citizens of the international community, in order to facilitate quick and effective Language Learning and IT training worldwide, in a well-organized, codified and reliable manner.
Based on the Globalcitizen System, the Organization has developed and offers a wide range of specialized Programs organized in distinct Educational Suites according to Students age, status and practical learning needs such as General Language Education & IT Training, Exam Preparation (Certificate Attainment), University Entry as well as Specialized Professional and Vocational terminology (Globalcitizen Services – Educational Packages).
Globalcitizen Digital Platform®
Globalcitizen is also the owner of the Globalcitizen Digital Platform® through which all Globalcitizen Services – Lesson Packages and Teacher Services are being delivered. The Platform provides all academic and technical tools necessary for Teachers to provide their Students with high quality educational services as defined by the Globalcitizen Quality Standards.
Globalcitizen operates as:
- Business developer
The Organization develops, produces and provides:
- Educational services: Language Learning & IT training
- Breakthrough learning methodologies and educational materials
- Special language services (Translation, interpretation, plus all types of lingual assistance and support)
- Technical expertise and support in web-based learning
- Human Resources – Recruiting, Training & Development (Academic, admin and technical staff – Globalcitizen Specialists®).
Globalcitizen Company Structure
The Organization consists of nine cross-functional divisions that design, develop, produce, provide and support the Organizations Products and Services:

[It] is also the developer and owner of the Globalcitizen Digital Platform® through which all Globalcitizen Services (Suites and Programs) are being provided.
All Globalcitizen Services are taught by approved, well trained Teachers, the Globalcitizen Specialists®
Teachers are recruited either directly through the Globalcitizen Holding LTD UK website (www.globalcitizenholding.com) or through the Globalcitizen Retail Associates/ Partners worldwide (see Teacher Policy).
Approved Teachers go on to receive specialized training on both academic and technical matters necessary to reach the desired Globalcitizen Standards, and having successfully completed their training, are awarded the title of Teacher – Globalcitizen Specialist®. They are then able to be listed and provide their services on the Globalcitizen Digital Platform® as independent, third-party contractors (not as employees – see Teacher Policy).
NOTE: Although Teachers have been approved by Globalcitizen as proficient educators that fulfil all necessary requirements (Globalcitizen Standards) to provide specific Globalcitizen Services and have their performance monitored during lesson delivery, this by no means makes Globalcitizen solely responsible for the behavior and conduct of Teachers and is not liable for the Teachers misbehavior or ill conduct during his/her lessons (see Teacher Policy). Globalcitizen also provides a framework for Teachers to conduct their lessons and provide specific Globalcitizen Services according to required Globalcitizen Standards but is not responsible for the learning materials used by the Teachers during their lesson delivery and is not in any way liable for any copyright or legal matters that might arise as this is the sole responsibility of the Teachers (see Teacher Policy).
The Globalcitizen Digital Platform® is an LMS (Learning Management System) its sole purpose being to provide a Digital Learning Space (GDLS) for registered users (Teachers and Students – “Members“) to conduct their lessons, communicate and exchange various file types (lesson notes, homework and tests) as well as monitor their activity and progress. It is not used to buy Globalcitizen Services.
Globalcitizen Services are promoted and sold to students by the Globalcitizen Retail Associates / Partners Network Worldwide. Students can get in touch with their local Retail Associate, select and agree on the Globalcitizen Service – Lesson Package of their liking in Private or Group lessons and come to an Agreement – Lesson Contract.
The Retail Associate / Partner will then contact the appropriate Teacher – Globalcitizen Specialist, inform them about the Student’s request (Globalcitizen Service / Lesson Package) and come to an Agreement – Lesson Contract (see Teacher Policy).
All parties will then have to honor this Agreement – Lesson Contract to its full extent.
Students will make payments to their local Globalcitizen Retail Associate / Partner to add Globalcitizen Credits to their Student Account in order payfor their Globalcitizen Services. Once lessons have been successfully delivered by Teachers, Globalcitizen Credits will be transferred to the Teachers Account, where it will remain until withdrawal. NOTE: Globalcitizen Holding UK is responsible for final Teacher payment – withdrawal (see Payment Policy).
Globalcitizen reserves the right, at its sole discretion, to modify the Globalcitizen Digital Platform and to modify these Globalcitizen Terms, at any time and without prior notice. If we modify these Globalcitizen Terms, we will either post the modification on the Sites and the Applications or otherwise provide you with notice of the modification. We will also update the “Last Updated” date at the top of these Globalcitizen Terms. By continuing to access or use the Globalcitizen Digital Platform after we have posted a modification on the Sites and the Applications or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Globalcitizen Terms. If the modified Globalcitizen Terms are not acceptable to you, your only recourse is to cease using the Globalcitizen Digital Platform.
The Globalcitizen Digital Platform is available only to, and may only be used by, individuals who are 18 years and older who can form legally binding contracts under applicable law.
In the case of minors (students under 18), parents/guardians will have to accept the terms of the Globalcitizen Digital Platform® on their behalf through their “Parent account” that is generated upon course enrollment.

WHILE WE USE GOOD FAITH EFFORTS TO CONFIRM THAT EACH TEACHER ON THE GLOBALCITIZEN DIGITAL PLATFORM IS PROFESSIONAL, WE ARE NOT ABLE TO PROVIDE ANY ASSURANCES REGARDING THE CHARACTER OR OTHER QUALITIES OF TEACHERS AND THE ACCURACY OF THE INFORMATION TEACHERS PROVIDE VIA THE GLOBALCITIZEN DIGITAL PLATFORM. WHEN INTERACTING WITH OTHER MEMBERS YOU SHOULD EXERCISE CAUTION AND COMMON SENSE TO PROTECT YOUR PERSONAL SAFETY AND PROPERTY, JUST AS YOU WOULD WHEN INTERACTING WITH OTHER PERSONS WHOM YOU DON’T KNOW. NEITHER GLOBALCITIZEN NOR ITS AFFILIATES OR LICENSORS IS RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY MEMBERS OF THE GLOBALCITIZEN DIGITAL PLATFORM. GLOBALCITIZEN AND ITS AFFILIATES AND LICENSORS WILL NOT BE LIABLE FOR ANY CLAIM, INJURY OR DAMAGE ARISING IN CONNECTION WITH YOUR USE OF THE GLOBALCITIZEN DIGITAL PLATFORM.
5. Description of Services
5.1 Globalcitizen Services
Globalcitizen’s services includes:
- Connection Services. Globalcitizen provides Members with access to and use of the Globalcitizen Digital Platform, which is an online digital learning space where (a) Members can upload, submit, store, send and receive content related to language or other type of learning; (b) Students can connect with Teachers directly in both synchronous (live online sessions) and asynchronous manner for the purpose of receiving the Globalcitizen Services / Lesson Packages they have purchased; (c) Teachers can respond to inquiries, connect with and engage Students to provide them with the Teacher Services (collectively, “Connection Services“).
- Teacher Payment Services. For Teachers, Globalcitizen provides certain payment processing services and payment tools in accordance with Globalcitizen’s Payment Policy (collectively, “Payment Services“).
- Business Services. If a Member is a Company, such Member may authorize additional individuals and/or their employees (the “Employees“) to use of the Globalcitizen Digital Platform, including but not limited to the Connection Services and Payment Services. The Company may (i) track Employees’ completed lessons, (ii) add or remove any Employees from access to or the use of Globalcitizen Digital Platform, (iii) control, refill or shift their Globalcitizen credits balances within such Company’s Globalcitizen Account (as defined below). The Company may also review the Employees’ language learning performance report through its Globalcitizen Account. For the avoidance of doubt, an Employee shall be considered as a “Student“.
5.2 Teacher Services
Teachers provide Globalcitizen Services / Lesson Packages plus other Teacher Services to Students through the Globalcitizen Digital Platform.
NOTE: To do so, Teachers will first have to file for an application. Once accepted, they’ll have to attend a Globalcitizen Specialist Training Course and upon successful completion they’ll be awarded the title of the Teacher – Globalcitizen Specialist. This means that they now possess the minimum required academic and technical skills to be able to provide the Globalcitizen Services adequately to Students through the Globalcitizen Digital Platform.
To provide the Globalcitizen Services to Students, Teachers accept and agree to the Globalcitizen’s Teacher Policy.
5.3 Globalcitizen Retail Associate Services
Globalcitizen Retail Associates / Partners act as intermediaries between the Teachers, the Students and the Globalcitizen Educational Organization (UK).
Globalcitizen Retail Associates / Partners, are authorized local retail representatives of the Globalcitizen Educational Organization worldwide, and are able to advertise, promote and sell Globalcitizen Services to Students.
[They] also have to contact Teachers (Globalcitizen Specialists), inform them about the desired Globalcitizen Service / Lesson Package to be purchased by the Students and reach an agreement between all involved parties as described on the Globalcitizen Payment Policy (collectively, “Payment Services“).
Throughout the Globalcitizen Service / Lesson Package delivery from the Teacher to the Students through the Globalcitizen Digital Platform, the Globalcitizen Retail Associates / Partners are responsible for communicating with all involved parties in order to ensure smooth running of the whole process and provide dispute resolution procedures and assistance, and other services in accordance with Globalcitizen’s Payment Policy (collectively, “Payment Services“).
They are also responsible for receiving Student’s payments and adding Globalcitizen Credits to the Students Account in accordance with Globalcitizen’s Payment Policy (collectively, “Payment Services“).
NOTE: Globalcitizen Retail Associates / Partners are not responsible for Teacher Payment.
Once Students have made payment to their local Globalcitizen Retail Associates / Partners for agreed Globalcitizen Services/Lesson Packages, the Globalcitizen Retail Associates / Partners transfer Student funds to Globalcitizen UK where Globalcitizen Credits are added to the Students Account. Once Teacher Services have been successfully delivered to the Student, credits are Transferred to the Teachers account where they remain until withdrawal. Globalcitizen Retail Associates / Partners role is therefore to promote and sell Globalcitizen Services/Lesson packages to students worldwide for an agreed commission agreed between the Globalcitizen Retail Associates / Partners and Globalcitizen Holding UK, track and support lesson delivery and mediate for lesson disputes between Student and Teacher where necessary. Globalcitizen Holding UK is responsible for adding Globalcitizen Credits to Students accounts, transferring Credit to Teachers Accounts upon successful delivery of services and making final payments to Teachers (Withdrawal).
6. Globalcitizen Account
6.1 Account Registration
In order to use the features that are offered through the Globalcitizen Digital Platform, an account has to be created (“Globalcitizen Account“) and become a Member.
You agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete. Globalcitizen reserves the right to suspend or terminate your Globalcitizen Account and your access to the Globalcitizen Digital Platform if any information provided during the registration process or thereafter proves to be inaccurate, fraudulent, not current, incomplete, or otherwise in violation of these Globalcitizen Terms.
In addition, to create an Globalcitizen Account, Globalcitizen may require you to select a username and password. You acknowledge that you shall be responsible for ensuring that any username you select does not infringe any third-party rights and is not otherwise unlawful. Globalcitizen may refuse to grant you a username in Globalcitizen’s sole discretion for any reason including if the proposed username impersonates or misleadingly implies an association with the persona of another person or entity, is or may be illegal, is or may be protected by trademark or other proprietary rights, is vulgar or otherwise offensive, or may cause confusion, or for any other reason as determined by Globalcitizen in Globalcitizen’s sole discretion. Your selection and use of a specific username do not convey any ownership or rights in that username and Globalcitizen reserves the right to revoke and/or reassign that username in Globalcitizen’s sole discretion. You understand and agree that Globalcitizen reserves the right to change, remove, alter or delete any username, with or without prior notice to you, at any time and for any reason in Globalcitizen’s sole discretion. YOU ARE ENTIRELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR USERNAME AND PASSWORD AND ALL ACCESS TO AND USE OF YOUR GLOBALCITIZEN ACCOUNT, INCLUDING ANY AND ALL ACTIVITIES (INCLUDING USE OF THE GLOBALCITIZEN DIGITAL PLATFORM, AS APPLICABLE) THAT ARE CONDUCTED THROUGH THE USE OF YOUR USERNAME AND PASSWORD WHETHER OR NOT AUTHORIZED BY YOU. YOUR GLOBALCITIZEN ACCOUNT MAY BE SUSPENDED OR TERMINATED IF SOMEONE ELSE USES YOUR GLOBALCITIZEN ACCOUNT TO ENGAGE IN ACTIVITY THAT VIOLATES THESE GLOBALCITIZEN TERMS.
You agree to notify Globalcitizen immediately of any unauthorized use of your Globalcitizen Account. We reserve the right to close your Globalcitizen Account at any time if you violate these Globalcitizen Terms or if we otherwise have a legitimate interest to do so, such as complying with a legal or regulatory obligation.
6.2 Link your Globalcitizen Account with Third-Party Account
As part of the functionality of the Globalcitizen Digital Platform, you may link your Globalcitizen Account with Third-Party Accounts, by either: (i) providing your Third-Party Account login information to Globalcitizen through the Globalcitizen Digital Platform; or (ii) allowing Globalcitizen to access your Third-Party Account, as permitted under the applicable terms and conditions that govern your use of such Third-Party Account. You represent that you are entitled to disclose your Third-Party Account login information to Globalcitizen and/or grant Globalcitizen access to your Third-Party Account (including, but not limited to, for use by Globalcitizen for the purposes described herein), without breach by you of any of the terms and conditions that govern your use of the applicable Third-Party Account and without obligating Globalcitizen to pay any fees or making Globalcitizen subject to any usage limitations imposed by such third-party service providers. By granting Globalcitizen access to any Third-Party Accounts, you understand that Globalcitizen will access, make available and store (if applicable) any content that you have provided to and stored in your Third-Party Account (“SNS Content“) so that it is available on and through the Globalcitizen Digital Platform via your Globalcitizen Account and Globalcitizen Account profile page. Unless otherwise specified in these Globalcitizen Terms, all SNS Content, if any, will be considered to be Member Content for all purposes of these Globalcitizen Terms.
If you choose to link Third-Party Accounts with your Globalcitizen Account, subject to the privacy settings that you have selected at such Third-Party Accounts, some of the information that you provided to us from the linking of your Third-Party Accounts might be available on and through the Globalcitizen Digital Platform via your Globalcitizen Account and Globalcitizen Account profile page. You have the ability to disable the connection between your Globalcitizen Account and your Third-Party Accounts at any time by accessing the “Settings” section of the Sites or Applications. If you disable the connection between your Globalcitizen Account and your Third Party Accounts, then SNS Content from that Third Party Account will no longer be available on and through the Globalcitizen Digital Platform, and you will no longer be able to access your Globalcitizen Account through such Third Party Account.
PLEASE NOTE THAT YOUR RELATIONSHIP WITH THE THIRD-PARTY SERVICE PROVIDERS ASSOCIATED WITH YOUR THIRD-PARTY ACCOUNTS IS GOVERNED SOLELY BY YOUR AGREEMENT(S) WITH SUCH THIRD-PARTY SERVICE PROVIDERS. Globalcitizen makes no effort to review any SNS Content for any purpose, including but not limited to for accuracy, legality or non-infringement and Globalcitizen is not responsible for any SNS Content.
Your Globalcitizen Account and your Globalcitizen Account profile page will be created for your use of the Globalcitizen Digital Platform based upon the information you provide to us or that we obtain through a Third-Party Account that you link with your Globalcitizen Account as described above.
6.3 Link to a Company
If you are an Employee of a Company, during the registration process, you may identify a Company with whom your profile and Globalcitizen Account is associated. Alternately, your individual profile may have been created by an authorized representative of the Company, and your profile and Globalcitizen Account will be associated with such Company. If your Globalcitizen Credits, Teacher Services and Payment Services are provided or scheduled by a Company, you may lose access to such Globalcitizen Credits, Teacher Services and Payment Services upon termination or change in status of your relationship with such Company. If you are an authorized representative of an entity receiving the Services, you hereby warrant and represent to us that (a) you have the proper authority to create, terminate and maintain the company account and to add and remove individual members to and from the account and (b) you have obtained all necessary consent from any applicable individuals for the creation of their accounts and the processing of individual information. You agree to indemnify us for any loss we may suffer as a result of any breach of these warranties and representations.
All content made available through Globalcitizen Digital Platform is either owned by Globalcitizen or Globalcitizen’s licensors, or is licensed to Globalcitizen and Globalcitizen’s licensors pursuant to Section 10 (Member Content). As between you and Globalcitizen, you own your Member Content. We own the Globalcitizen Content, including but not limited to visual interfaces, interactive features, graphics, design, our compilation of Member Content, computer code, products and services, software, aggregate Member review ratings, and all other elements and components of the Globalcitizen Digital Platform excluding Member Content. As between you and Globalcitizen, we also own the copyrights, trademarks, service marks, trade name, and other intellectual property rights throughout the world associated with the Globalcitizen Content and the Globalcitizen Digital Platform, which are protected by copyright, trade dress, patent, trademark laws, and all other applicable intellectual and proprietary rights and laws. Except as expressly and unambiguously provided herein, we do not grant you any express or implied rights, and all rights in and to the Globalcitizen Digital Platform and the Globalcitizen Content are retained by Globalcitizen.
8. License Grant
Subject to and conditioned on compliance with these Globalcitizen Terms, Globalcitizen hereby grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, terminatable license to access and use the Globalcitizen Digital Platform. Except as expressly set forth in these Globalcitizen Terms, you may not modify (including without limitation making derivative works), copy, adapt, reverse engineer, de-compile or otherwise reduce to human perceivable format, distribute, frame, reproduce, republish, download, scrape, display, post, transmit, transfer, license or sublicense, publicly display or sell in any form or by any means, in whole or in part, the Globalcitizen Content, other Members’ Member Content and the Globalcitizen Digital Platform without Globalcitizen’s or our licensors’ express prior written permission.
The licenses granted to you are conditioned upon your proper conduct and compliance with these Globalcitizen Terms at all times, as judged by Globalcitizen in Globalcitizen’s sole discretion. We reserve the right to suspend or deny, in our sole discretion, your access to all or any portion of the Globalcitizen Digital Platform.
9. Member Content
We may, in our sole discretion, permit you to post, upload, publish, submit, store or transmit your Member Content. By making available any Member Content on or through the Globalcitizen Digital Platform, you hereby grant to Globalcitizen a worldwide, irrevocable, perpetual (or for the term of the protection), non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit such Member Content on, through, by means of, or to promote or market the Globalcitizen Digital Platform. Globalcitizen does not claim any ownership rights in any Member Content.
You acknowledge and agree that you are solely responsible for all Member Content that you make available through the Globalcitizen Digital Platform. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all Member Content that you make available through the Globalcitizen Digital Platform or through Globalcitizen promotional campaigns or you have all rights, licenses, consents and releases that are necessary to grant to Globalcitizen the rights in such Member Content, as contemplated under these Globalcitizen Terms; and (ii) neither your Member Content nor your posting, uploading, publication, submission or transmittal of your Member Content or Globalcitizen’s use of your Member Content (or any portion thereof) on, through or by means of the Globalcitizen Digital Platform or Globalcitizen promotional campaigns will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
Teacher and Students can share their Member Content between them for practical everyday Academic reasons through their Globalcitizen Learning Space (Digital Classroom) during their Globalcitizen Lesson / Package delivery (lesson notes, various learning materials, homework, tests etc, as well as discussions and comments in blogs or other types of internal platform communication tools).
Globalcitizen respects copyright law and expects its Members to do the same. If you believe that any content on the Globalcitizen Digital Platform infringes copyrights you own, please notify us in accordance with our Copyright Policy.
We are under no obligation to enforce the Globalcitizen Terms on your behalf against another Member. While we encourage you to let us know if you believe another Member has violated the Globalcitizen Terms, we reserve the right to investigate and take appropriate action at our sole discretion.
10.1 Improper Use
You agree not to, and will not assist, encourage, or enable others to use the Globalcitizen Digital Platform to:
- Violate any third party’s rights, including any breach of confidentiality, or any infringement of copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity or any other intellectual property or proprietary right;
- Upload any content that is indecent, libelous, defamatory, obscene, invasive of privacy or publicity rights, abusive, illegal or otherwise objectionable;
- Solicit personal information from minors, or submit or transmit pornography;
- Threaten, stalk, harm, or harass others, or promote bigotry or discrimination;
- Promote a business or other commercial venture or event, or otherwise use the Globalcitizen Digital Platform for commercial purposes, except as expressly permitted by Globalcitizen or contemplated by these Globalcitizen Terms;
- Send bulk emails, surveys, or other mass messaging, whether commercial in nature or not; engage in keyword spamming, or otherwise attempt to manipulate the Globalcitizen Digital Platform’s search results or the search results of any third-party website; or
- Violate any applicable law.
10.2 Additional Restrictions
You also agree not to, and will not assist, encourage, or enable others to:
- Violate these Globalcitizen Terms;
- Modify, adapt, appropriate, reproduce, distribute, translate, create derivative works or adaptations of, publicly display, sell, trade or in any way exploit the Globalcitizen Digital Platform, any Globalcitizen Content or other Members’ Member Content, except as expressly authorized by us;
- Use any robot, spider, site search/retrieval application or other automated device, process or means to access, retrieve, scrape or index any portion of the Globalcitizen Digital Platform, any Globalcitizen Content or other Members’ Member Content;
- Reverse engineer any portion of the Globalcitizen Digital Platform;
- Remove or modify any copyright, trademark or other proprietary rights notice that appears on any portion of the Globalcitizen Digital Platform or on any materials printed or copied from the Globalcitizen Digital Platform;
- Record, process or mine information about other Members;
- Access the Globalcitizen Digital Platform by means other than through the public interfaces we provide to you;
- Reformat or frame any portion of the Globalcitizen Digital Platform;
- Take any action that imposes, or may impose, an unreasonable or disproportionately large load on our technology infrastructure or otherwise make excessive traffic demands of the Globalcitizen Digital Platform, as determined by Globalcitizen in Globalcitizen’s sole discretion;
- Attempt to gain unauthorized access to the Globalcitizen Digital Platform, Globalcitizen Accounts, computer systems or networks connected to the Globalcitizen Digital Platform through hacking, password mining or any other means;
- Use the Globalcitizen Digital Platform, any Globalcitizen Content or other Members’ Member Content to transmit any computer viruses, worms, defects, Trojan horses or any other computer code, files or programs designated to interrupt, destroy or limit the functionality of the Globalcitizen Digital Platform;
- Use any device, software or routine that interferes with the proper working of the Globalcitizen Digital Platform or otherwise attempt to interfere with the proper working of the Globalcitizen Digital Platform;
- Use the Globalcitizen Digital Platform to violate the security of any computer network, crack passwords or security encryption codes; disrupt or interfere with the security of, or otherwise cause harm to, the Globalcitizen Digital Platform, any Globalcitizen Content or other Members’ Member Content;
- Remove, circumvent, disable, damage or otherwise interfere with any security-related features of the Globalcitizen Digital Platform, features that prevent or restrict the use or copying of any Globalcitizen Content, or other Members’ Member Content or features that enforce limitations on the use of the Globalcitizen Digital Platform;
- Authorize any third party to use Globalcitizen Digital Platforms, including but not limited to Teacher Services, through your Globalcitizen Account, or schedule any Teacher Services on behalf of any individuals other than yourself, except that the Company authorizes its Employee to use Globalcitizen Digital Platforms, and schedule the Teacher Services on behalf of its Employees;
- Schedule and/or provide for any Teacher Service outside of the Globalcitizen Digital Platform;
- Make, accept, or receive any payment in connection with the Teacher Service outside of the Globalcitizen Digital Platform or the Globalcitizen Retail Associates/Partners Network Worldwide; or
- Solicit and/or recruit Globalcitizen Members to work or study on other software or language learning platforms.
The restrictions above only apply to the extent permissible under applicable law. Nevertheless, you agree not to act contrary to these restrictions (even if permissible under applicable law). Moreover, Globalcitizen reserves the right to determine what conduct Globalcitizen considers to be in violation of these Globalcitizen Terms or otherwise outside the intent or spirit of the Globalcitizen Digital Platform. Globalcitizen reserves the right to take action as a result of any such violation, which may include terminating your Globalcitizen Account and prohibiting you from using the Globalcitizen Digital Platform in whole or in part.
The Globalcitizen Digital Platform may contain links to third-party websites or resources. You acknowledge and agree that Globalcitizen is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Globalcitizen of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources or the content, products or services on or available from such websites or resources.
12. Enforcement of Globalcitizen Terms of Service
We may suspend or cancel your Globalcitizen Account if we believe that you have violated or acted in a manner that is inconsistently with the letter or the spirit of these Globalcitizen Terms, or violated our rights or those of a third-party in connection with your use of the Globalcitizen Digital Platform. Without limiting Globalcitizen’s other remedies, we will suspend, cancel or terminate your Globalcitizen Account, suspend your ability to use certain portions of the Globalcitizen Digital Platform, freeze or confiscate your Globalcitizen Credits (as defined in the Payment Policy) and/or ban you altogether from the Globalcitizen Digital Platform, without notice or liability of any kind, if: (a) you breach any terms and conditions of these Globalcitizen Terms or any other written policies and procedures posted on the Globalcitizen Digital Platform, including but not limited to Globalcitizen Policies; (b) we are unable to verify or authenticate any information you provide to us; or (c) we believe that your actions may cause legal liability for you, our Members or for Globalcitizen.
Once suspended or terminated, you may not continue to use the Globalcitizen Digital Platform under a different Globalcitizen Account or re-register under a new Globalcitizen Account. This includes usage of any associated Payment Services. In addition, violations of these Globalcitizen Terms may be prosecuted to the fullest extent of the law and may result in additional penalties and sanctions. If you engage in actions or activities which circumvent the Globalcitizen Digital Platform or otherwise reduce service fees owed or paid to Globalcitizen under these Globalcitizen Terms, you will be liable to Globalcitizen for the full amount of the service fees due, and may be subject to additional sanctions including, but not limited to, suspension or termination of your Globalcitizen Account. Globalcitizen reserves the right to terminate any Member or project for any reason, at its sole discretion and to refuse to provide registration and membership to you in the future. If your membership is canceled, you may no longer have access to data, messages, files and other material you store at the Globalcitizen Digital Platform.
THE GLOBALCITIZEN DIGITAL PLATFORM PROVIDED BY GLOBALCITIZEN AND THE SERVICES PROVIDED BY GLOBALCITIZEN, ANY OF OUR LICENSORS OR TEACHERS ARE PROVIDED ON AN “AS IS,” AND AS AVAILABLE BASIS, WITHOUT WARRANTY, AND “WITH ALL FAULTS“, WITH THE EXPRESS UNDERSTANDING THAT GLOBALCITIZEN MIGHT NOT MONITOR, CONTROL OR VET MEMBER CONTENT OR ANY CONTENT FROM THIRD PARTY. GLOBALCITIZEN EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES AS TO THE PRODUCTS OR SERVICES OFFERED BY THIRD PARTIES, AND IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OR TRADE. YOUR USE OF THE GLOBALCITIZEN DIGITAL PLATFORM IS AT YOUR OWN DISCRETION AND RISK. WE MAKE NO REPRESENTATIONS OR WARRANTIES, OF ANY KIND, EITHER EXPRESS OR IMPLIED, AS TO THE QUALITY, IDENTITY OR RELIABILITY OF ANY THIRD PARTY, OR AS TO THE ACCURACY OF THE POSTINGS MADE ON THE GLOBALCITIZEN DIGITAL PLATFORM BY ANY THIRD PARTY. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
14. Limitation of Liability
IN NO EVENT SHALL GLOBALCITIZEN, OUR LICENSORS OR THE TEACHERS BE LIABLE TO YOU OR ANY OTHER MEMBER FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES PURSUANT TO THESE GLOBALCITIZEN TERMS, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU
NOTWITHSTANDING ANY OTHER PROVISION OF THESE GLOBALCITIZEN TERMS, IN NO EVENT WILL OUR LIABILITY TO YOU FOR ANY ACTION OR CLAIM RELATED TO THE GLOBALCITIZEN DIGITAL PLATFORM PROVIDED UNDER THESE GLOBALCITIZEN TERMS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE OR ANY OTHER THEORY OF LIABILITY, EXCEED IN THE GREATER OF: (A) €100 OR (B) THE AGGREGATE AMOUNT OF SERVICE CHARGES ACTUALLY COLLECTED BY US FROM YOU FOR THE SERVICES TO WHICH THE LIABILITY RELATES DURING THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE DETERMINATION OF SUCH LIABILITY.
You agree to indemnify, defend and hold Globalcitizen harmless, including against all costs, liabilities and legal fees, resulting from any claim or demand made by any third party arising out of or relating to (i) your access to or use of the Globalcitizen Digital Platform, (ii) your decision to submit postings and accept offers from other Member, (iii) any breach of contract or other claims made by Members with which you conducted business through the Globalcitizen Digital Platform, (iv) your violation of these Globalcitizen Terms, (v) any products or services purchased or obtained by you in connection with the Globalcitizen Digital Platform, (vi) any liability arising from the tax treatment of payments to Teachers, (vii) any negligent or intentional wrongdoing committed by you on or through the Globalcitizen Digital Platform, (viii) any infringement by you, or any third party using your Globalcitizen Account, of any intellectual property or other right of any person or entity, (ix) your failure to pay or dispute of any fees owed to any Teacher or any other amounts owed to other Members; and/or (x) your failure to satisfy your obligations as a Teacher or to a Teacher. Globalcitizen reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Globalcitizen and you agree to cooperate with Globalcitizen’s defense of these claims. You agree not to settle any such matter without the prior written consent of Globalcitizen. Globalcitizen will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of such claim, action or proceeding.
16. Suspension, Termination or Cancellation
16.1 Termination By You
You may terminate these Globalcitizen Terms at any time by closing your Globalcitizen Account, discontinuing your use of the Globalcitizen Digital Platform and deleting the Applications from your device. You have the right to cancel your Globalcitizen Account at any time so long as there are no outstanding obligations for Globalcitizen and/or Teacher Services by you.
16.2 Termination by Globalcitizen
We may suspend, cancel or terminate your Globalcitizen Account, suspend your ability to use certain portions of the Globalcitizen Digital Platform, freeze or confiscate your Globalcitizen Credits (as defined in the Payment Policy) and/or ban you altogether from the Globalcitizen Digital Platform for any reason or for no reason, and without notice or liability of any kind. Reasons for such suspension, cancelation or termination may include, but are not limited to, if we believe in good faith that (a) you, a related person, or your Employee (to the extent you are a Company) has engaged in any of the restricted conduct described in Section 11 (Restrictions) or otherwise violated or may have violated these Globalcitizen Terms and/or any Globalcitizen Policies, or (b) your Globalcitizen Account and use of the Globalcitizen Digital Platform have been inactive for more than twelve (12) months. To the extent that you violate these Globalcitizen Terms and we revoke the licenses granted to you, you will lose all benefits and privileges associated with the Globalcitizen Digital Platform. We are under no obligation to compensate you for any such losses.
We reserve the right to stop making available any one or more of the Globalcitizen Digital Platform, at any time, whether on a temporary or permanent basis and without any liability, compensation, refunds or other compensatory benefits to you. Your license to the Globalcitizen Digital Platform automatically ends when we terminate access to such Globalcitizen Digital Platform. Any such action could prevent you from accessing your Globalcitizen Account, the Globalcitizen Digital Platform, any Globalcitizen Content, or any other related information.
In the event of any termination of the Globalcitizen Terms, whether by you or Globalcitizen, the following Sections will continue in full force and effect: Section 8 (Ownership), Section 10 (Member Content), including but not limited to Globalcitizen’s right to use your Member Content, Section 11 (Restrictions), Section 12 (Links), Section 13 (Enforcement of Globalcitizen Terms of Service), Section 14 (Disclaimers), Section 15 (Limitation of Liability), Section 16 (Indemnification), Section 17 (Suspension, Termination or Cancellation), Section 18 (Entire Agreement), Section 19 (Assignment), Section 20 (Notices), Section 21 (Governing Law and Jurisdiction), Section 21 (Dispute Resolution), Section 23 (Feedback) and Section 24 (General).
17. Entire Agreement
Except as they may be supplemented by additional Globalcitizen policies, guidelines, standards, or terms for a specific product, feature, service or offering, these Globalcitizen Terms together with the Globalcitizen Policies constitute the entire and exclusive understanding and agreement between Globalcitizen and you pertaining to the subject matter hereof, and supersede any and all prior oral or written understandings or agreements between Globalcitizen and you in relation to your access to and use of the Globalcitizen Digital Platform.
You may not assign or transfer these Globalcitizen Terms, or any rights or obligations hereunder, by operation of law or otherwise, without Globalcitizen’s prior written consent. Any attempt by you to assign or transfer these Globalcitizen Terms without such consent will be null and of no effect. Globalcitizen may assign or transfer these Globalcitizen Terms, and any rights or obligations hereunder, at its sole discretion, without restriction. Subject to the foregoing, these Globalcitizen Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
Unless you otherwise indicate in writing to customer service in accordance with Section 24 (Contacting Customer Service), Globalcitizen will communicate with you by email or by posting communications on the Globalcitizen Digital Platform. You consent to receive communications from us electronically and you agree that these electronic communications satisfy any legal requirement that such communications be in writing. You will be considered to have received a communication when Globalcitizen sends the communication to the email address you have provided to Globalcitizen on the Globalcitizen Digital Platform, or when Globalcitizen posts such communication on the Globalcitizen Digital Platform. You must keep your email address updated on the Globalcitizen Digital Platform, and you must regularly check the Globalcitizen Digital Platform for postings. If you fail to respond to an email message from Globalcitizen regarding violation, dispute or complaint within two business days, Globalcitizen will have the right to terminate or suspend your Globalcitizen Account.
All notices to Globalcitizen intended to have a legal effect concerning these Globalcitizen Terms must be in writing and delivered either in person or by a means evidenced by a delivery receipt, to the following address:

20. Governing Law
20.1 For Residents Outside of the United Kingdom
Except as otherwise specified in Section 21.2 below, any claims arising out of the Globalcitizen Digital Platform or the Globalcitizen Terms will be subject to the laws of England and Wales, without reference to conflict of laws principles.
20.2 For Residents in the United Kingdom
Any claims arising out of the Globalcitizen Digital Platform or these Globalcitizen Terms that are brought in the United Kingdom will be subject to the laws of England and Wales without reference to conflict of laws principles.
21. Dispute Resolution; Binding Arbitration and Class Action Waiver
READ SECTION 22 CAREFULLY. THIS SECTION  MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
21.1 Informal Dispute Resolution
Our customer service department is available as noted in Section 25 (Contacting Customer Service) to address any concerns, disputes, claims or controversies you may have regarding the Globalcitizen Digital Platform, these Globalcitizen Terms or the relationship between you and Globalcitizen (collectively, “Disputes“). Most Disputes are quickly resolved in this manner to our users’ satisfaction. The parties shall use their best efforts to settle any Dispute directly through consultation and good faith negotiations which shall be a precondition to either party initiating a lawsuit or arbitration.
21.2 Dispute Resolution for Residents outside of the United Kingdom
The parties shall attempt to resolve any dispute arising out of or relating to this contract through negotiations between senior executives of the parties, who have authority to settle the same. If the matter is not resolved by negotiation within 30 days of receipt of a written ‘invitation to negotiate’, the parties will attempt to resolve the dispute in good faith through an agreed Alternative Dispute Resolution (ADR) procedure, or in default of agreement, through an ADR procedure. The seat of the arbitration shall be England and Wales. The arbitration shall be governed by both the provisions of the Arbitration Act 1996 as in force and in effect and Rules as agreed between the parties.
21.3 Dispute Resolution for Residents in the United Kingdom
If you are domiciled in and/or use the Globalcitizen Digital Platform in the United Kingdom, this Section 22.3 applies to you.
- Agreement to Arbitrate. If the parties do not agree upon a resolution in connection with a Dispute within a period of thirty (30) calendar days from the time the informal dispute resolution is initiated pursuant to Section 22.1 (Initial Dispute Resolution), the dispute shall be referred to arbitration by any party (the “Agreement to Arbitrate“), subject to the terms set forth below.
It is hereby expressly agreed that any dispute, controversy, or claim arising out of or in connection with the Globalcitizen Terms, or the breach, termination or validity thereof, shall be submitted to the Chartered Institute of Arbitrators (ClArb) and settled by final and binding arbitration in accordance with the ClArb Arbitration Rules. Judgment on any award issued under this provision may be entered by any court of competent jurisdiction.
The following Provisions of the CIArb Rules shall have effect over the Arbitration proceedings, namely:
- Appointment of arbitrators
The arbitral tribunal shall be composed of one arbitrator.
- Appointment of sole arbitrator
A sole arbitrator shall be appointed by agreement of the parties. If the parties have not agreed on the appointment of a sole arbitrator within 30 days of the respondent’s receipt of a notice of arbitration, then, at the request of one of the parties, a sole arbitrator shall be appointed by the ClArb.
- Place of arbitration and applicable procedural law
The place of arbitration shall be London, England. The proceedings shall be conducted in accordance with the arbitration law of the place of the arbitration, ergo The Arbitration Act 1996 as in force and in effect.
- Language(s) of arbitration
The language of the arbitration proceedings shall be English.
- Law governing the contract
The contract shall be governed by: the substantive law of England and Wales, exclusive of any conflict-of-laws rules that could require the application of any other law.
- Law governing the arbitration agreement
The arbitration agreement shall be governed by the laws of England and Wales and the Arbitration Act 2006.
By sending us any ideas, suggestions, documents or proposals (“Feedback“), you agree that (i) your Feedback does not contain confidential or proprietary information of third parties, (ii) we are under no obligation of confidentiality, express or implied, with respect to the Feedback, (iii) we may have something similar to the Feedback already under consideration or in development, and (iv) you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, prepare derivative works of, publish, distribute and sublicense the Feedback and you irrevocably waive, and cause to be waived, against Globalcitizen and other Members any claims and assertions of any moral rights that you may have with respect to such Feedback.
The failure of Globalcitizen to enforce any right or provision of these Globalcitizen Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Globalcitizen. Except as expressly set forth in these Globalcitizen Terms, the exercise by either party of any of its remedies under these Globalcitizen Terms will be without prejudice to its other remedies under these Globalcitizen Terms or otherwise. If for any reason an arbitrator or a court of competent jurisdiction finds any provision of these Globalcitizen Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Globalcitizen Terms will remain in full force and effect.

For your information, the Company has collected, both directly and through third parties, the following categories of personal information about consumers during the preceding twelve (12) month period:

Device Information. We collect device-specific information when you access the Globalcitizen Digital Platform from a computer, mobile, and/or other device, including your hardware model, operating system and version, unique device identifiers, mobile network information, country of access, crash reports, request and referral URL’s and system activity details.
Academic – Educational Information. We collect course-specific information about your use of the Globalcitizen Digital Platform® during your study, such as login sessions, attendance, live sessions – Lessons video recordings, preview of materials (text, audio and visual) assignment submissions, etc. Through this process you can track your progress and get reports. In case of minors, parents/guardians can track their children’s attendance and performance on the platform.
Use Information. We collect information about your use of the Globalcitizen Digital Platform, including the type of browser you use, the language you prefer, access times, pages viewed, user activity, interactions with other users, your internet protocol address and the page you visited before navigating to the Globalcitizen Digital Platform.
Information Collected by Cookies and Other Tracking Technologies. We use various technologies to collect information, and this may include sending cookies, web beacons, Flash Cookies (as defined below), or other tracking technologies.
- Cookies. Cookies are small data files stored on your hard drive or in device memory that helps us to improve the Globalcitizen Digital Platform and your experience, see which areas and features of the Globalcitizen Digital Platform are popular and count visits. For more information about cookies, and how to disable them, please see Section 11 (Your Choices and Controls) below.
- Web Beacons. We may also collect information using web beacons (also known as
"tracking pixels"). Web beacons are electronic images
that may be used in the Globalcitizen Digital Platform or emails and help
deliver cookies, count visits, understand usage and campaign effectiveness
and determine whether an email has been opened and acted upon.
In addition to the information that we collect directly from you, we also collect certain of your information from following third party sources.
App Stores or Distribution Channels. The Globalcitizen Digital Platform that are distributed through app stores or distribution channels, such as the Apple App Store, Google Play and other Globalcitizen Associates Worldwide, may also request permission to automatically collect other information from your mobile or other device. The Globalcitizen Digital Platform may only collect such information with your authorization in accordance with your device operating system’s permission process.
Mobile Platforms. If you use or access the Globalcitizen Digital Platform on your mobile device and/or tablet, we receive information about you from the app stores and other mobile platform providers. This information includes your username and/or device ID and the fact that you made a purchase, for instance, but does not include any sensitive or financial information. Some of our mobile platforms also may send information to us that you authorize them to provide. Our mobile products also may request additional personal information from you, such as push notification tokens, your precise location or contact list, and we will collect this information only if you give us your explicit consent.
We have identified the provider names of some of the third-party analytics and advertising services we use. We take no responsibility for the content or privacy practices of any third party services. - Provide, maintain and improve the Globalcitizen Digital Platform;
- Provide and deliver the products and/or services you order and send you related information, including confirmations and invoices;
- Send you communications about products, services, offers, promotions, rewards or events offered by us and other companies and provide news and information we think will be of interest to you;
- Send you technical notices, updates, security alerts and support and administrative messages;
- Respond to your comments, questions, requests and provide customer service;
- Monitor and analyze trends, usage and activities in connection with the Globalcitizen Digital Platform;
- Personalize and improve the Globalcitizen Digital Platform and provide advertisements, content, suggested connections and features that match user profiles or activities;
- Process and deliver contest entries and rewards; and
- Link or combine with information we receive from others to help understand your needs and provide you with better service.
We retain your data only for as long as necessary to provide the service you have requested and thereafter for a variety of legitimate legal or business purposes. These might include retention periods: (i) mandated by law, contract or similar obligations applicable to our business operations; (ii) for preserving, resolving, defending or enforcing our legal/contractual rights; or (iii) needed to maintain adequate and accurate business and financial records.
NOTE: About Live Sessions (Lessons) Recordings between Teachers and Students
Live sessions are recorded and available for students and teachers within their private Digital Learning Space for (i) Academic, (ii) Quality Control, and (iii) Dispute resolution purposes.
i. Academic Purposes: Both Students and Teachers benefit greatly from the video recordings of their sessions. Students are able to review their past sessions as many times as they want which allows them to remember and fully understand all academic material covered during one or more completed sessions (new vocabulary, grammar, exam techniques etc). Teachers can also and at any time have a clear picture of all materials that have already been taught by them in the past and in what detail, and be sure of what remains to be taught in the future. Teachers can also inform their students for specific sessions they might have to review in order to move on with the course without having to constantly repeat specific topics and fall back on course syllabus, usually at the expense their fellow-students (in case of group lessons)
ii) Quality Control Purposes: Live session video recordings are also sporadically being monitored by Globalcitizen academic advisors and technical staff, in order for them to be able to ensure the highest quality of the Educational Services that are bought from the Students and provided by the Teachers in terms of the application of its unique educational system (Globalcitizen methodology®) as well as the correct use of the educational and other digital tools necessary for the correct conduct of the lessons (procedure for which all Teachers have been fully informed about, trained upon and have accepted to use during their lessons with their students).
iii) Dispute resolution purposes: Students and Teachers can get in various types of dispute between each other and ask for Globalcitizen for intervention on a specific matter. Through the Lesson video recordings that the Globalcitizen admin team will have access to, a number of disputes can easily be resolved eg whether a lesson has been conducted on a specific date and time and for the its total duration as agreed upon, whether the material taught is relevant and up to Globalcitizen standards, plus any dispute for either Teacher of Student ill behavior during lessons.
The Video recordings are available for viewing (for any of the above mentioned purposes) for a total period of 12 months.
We will share personal information outside of the Company when we have your consent. We’ll ask for your explicit consent to share any sensitive personal information. We do not share your personal information with companies, organizations, or individuals outside of the Company except the following cases:
- With the Teachers (Globalcitizen Specialists®) of the Globalcitizen Digital Platform in connection with providing Teaching Services to the Students;
- With other users of Globalcitizen Digital Platform in connection with the social features of the Globalcitizen Digital Platform (for example, your username and profile picture, you have accumulated in the Globalcitizen Digital Platform that may be visible to other users of the Globalcitizen Digital Platform, or information that you provide in your account registration for forum use and your forum comments may be visible to other forum users);
- In response to a request for information if we believe disclosure is required by or otherwise in accordance with any applicable law, regulation or legal process;
- To protect the rights, property and safety of the Company or others;
- Subject to applicable laws, in connection with any merger, sale of company assets or acquisition of all or a portion of our business; or
- With your consent or at your direction, including if we notify you through the Globalcitizen Digital Platform that the information you provide will be shared in a particular manner and you provide such information.

This payment policy ("Payment Policy") governs the Payment Services (as defined in the Globalcitizen Terms) provided by Globalcitizen to you. Capitalized terms (including the term "Globalcitizen") used but not defined in this Payment Policy have the meanings ascribed to such terms in our Terms of Service, which is available at www.globalcitizenditigal.com/policy (the "Globalcitizen Terms").
"Globalcitizen Service" or "Lesson Package" means the educational service as a whole (Suite and Program) offered by the Globalcitizen Educational Organization through its retail Partners and Associates and delivered by the Teacher through the Globalcitizen Digital Platform Worldwide.
"Globalcitizen Retail Associate" or "Globalcitizen Retail Partner" means a local retail representative of the Globalcitizen Educational Organization worldwide, authorized to advertise, promote and sell the Organizations educational services to students (Globalcitizen Services – Lesson Packages).
or "Package Fees" means the amounts that are due/payable by a
Student for private or group lessons, provided by the Teacher through the
Globalcitizen Digital Platform, and agreed upon between the Student and the Globalcitizen
"Student Service Fees" means the fees Globalcitizen charges the Student for using the Globalcitizen Digital Platform Services such as account and virtual classroom creation for lesson delivery.
"Teacher Fees" means the fees agreed upon and charged by the Teacher for lesson delivery to the Students through the Globalcitizen Digital Platform.
"Teacher Service Fees" means the fees Globalcitizen charges the Teacher for and when using the Globalcitizen Digital Platform Services.
“Other Fees” means additional fees that Globalcitizen charges the student for various extra products and/or services such as examination fees, certificates, technical support, etc
"Student Account" means a virtual account created for the Student by Globalcitizen to monitor his/her purchases (Globalcitizen Credit) on the Globalcitizen Platform (Lesson, service plus other fees bought).
"Teacher Account" means a virtual account created for the Teachers by Globalcitizen to monitor his/her payments for Teacher Services provided to the Students through the Globalcitizen Digital Platform.
"Globalcitizen Credit" means the amount purchased by the Student through the Globalcitizen Retail Associate/Partner that is available on his/her virtual account and will be used to pay his/her Lesson Fees, Student fees and Other fees.
"Payment Method" means a method or service for a Student to pay for his Globalcitizen Lesson fees, Student Service fees plus Other fees, such as credit card, debit card, PayPal etc.
"Withdrawal Method" means a method or service agreed upon between Globalcitizen and the Teacher for teacher payment, such as Bank Accounts, PayPal, and other third-party payment providers.
Students, will have to contact a Globalcitizen Retail Associate/Partner through the Globalcitizen Associate Network Worldwide®, select the Globalcitizen Service / Lesson Package they would like to acquire (Globalcitizen Suite/Program) and agree upon it.
Upon confirmation of Globalcitizen Services, time, and price by the Student, the Teacher (Globalcitizen Specialist®) and the Globalcitizen Retail Associate/Partner, such Student, Teacher and Associate/Partner shall be entering into a contract, pursuant to which the Student agrees to purchase, and the Teacher agrees to deliver through the Globalcitizen Digital Platform, the Globalcitizen Services (the "Lesson Contract") be it part of a private or group lesson. You agree not to enter into any contractual provisions that conflict with the Globalcitizen Terms or other Globalcitizen Policies. The Student and Teacher each covenant and agree to act with good faith and fair dealing in performance of the Lesson Contract. Furthermore, the Student and Teacher each acknowledge and agree that the value, reputation, and goodwill of the Globalcitizen Educational Organization depends on their performance of the foregoing covenants and agreements. The Student and the Teacher therefore agree that Globalcitizen has the right to take such actions with respect to the Lesson Contract, including without limitation suspension, termination, or legal actions, as Globalcitizen in its sole discretion deems necessary to protect the value, reputation, and goodwill of the Globalcitizen Educational Organization Worldwide.
Once the Service/Lesson package has been purchased, Globalcitizen provides each Student an account (Student Account) to track their purchases.
Payments for purchasing Globalcitizen Services are made through the Organizations Associates/Partners retail network worldwide. Payments can be made either at local Associate/Partner branches, through bank transfers or through online payment gateways.
Depending on the
Globalcitizen Service / Lesson package, payments can be made upfront or split
into installments as agreed upon with the Globalcitizen Assiciate/Partner accordingly.
In either case the Student is eligible for payment for the whole Educational Package as agreed and signed upon.
Following a successful transaction, your Student Account will have the corresponding amount of Globalcitizen Credits.
You acknowledge and agree
that the Globalcitizen Credit you purchased will be used to pay the Lesson
fees, Student Service Fees, Teacher Fees plus Other Fees, provided through the Globalcitizen
If you are a Company, Globalcitizen Credit acquired by you may be allocated between the Company Employees’ Student Account.
Authorized payments are final. No refunds will be given for Globalcitizen Credits purchased.
When purchasing Globalcitizen Credits, you may be charged additional fees by the third party that provides the applicable Payment Method. These fees are not under Globalcitizen's control, and Globalcitizen disclaims all liability in this regard. Whatever Payment Method you use may be subject to additional terms and conditions, which we recommend that you review before using such Payment Method.
If a Lesson is cancelled by the Student or declined by the Teacher, you will receive a 100% refund in the form of Globalcitizen credits to your Student Account.
As a Student, when you confirm a Lesson was successful, you confirm that the Teacher has completed the applicable Lesson Services fully and satisfactorily, and you are instructing Globalcitizen to transfer the applicable Globalcitizen Credits from your Student Account to the Teacher’s Account.
Note: In case of Group lessons, lessons take place no matter if you as an individual Student attend a single lesson under general Globalcitizen Policy, and Globalcitizen will transfer the applicable Globalcitizen Credits from your Student Account to the Teacher’s Account without your confirmation.
As a Student, when you confirm a Lesson was successful, you may be asked to leave feedback and a rating for the Teacher. Leaving feedback or a rating is optional. However, if you do so, you agree that your feedback must be genuine and honest, and will not commit fraud, spam, insult, harass, threaten, or otherwise misuse the feedback system.
You agree to report violations or abuses of our rating and feedback system by contacting Customer Service, and agree not to take any actions that undermine the integrity of the feedback system.
provides each Teacher with a "Teacher Account" to hold the Globalcitizen
Credits for Teacher Services provided until withdrawal.
Teachers will receive requests for Lessons/Packages from Students through the Globalcitizen Retail Associates/Partners worldwide ("Lesson/Package Requests"). By accepting a Lesson/Package Request, you agree to provide the Lesson to the Student/s at the date and time as described in the applicable Lesson/Package Request be it private or group lesson. You can choose to decline any Lesson/Package Request. If you do not respond within the predefined request limit, the Lesson/Package Request will automatically expire.
For every Lesson/Package Request, Teachers in combination with the Globalcitizen Retail Associate/Partner come to an agreement upon a specific “Teacher Lesson/Package Fee”. This fee can vary depending on a number of factors such as type of Service provided each time by the Teacher and/or number of students attending a Lesson/Package.
Once a Lesson Request has been agreed upon between Teacher and the Globalcitizen Retail Associate/Partner, a Teacher cannot change his/her “Teacher Lesson Fee” at his/her free own will and is bound by this agreement for the rest of the Lesson/Package Request duration.
As a Teacher, you acknowledge and agree that Globalcitizen may in its sole discretion cancel a confirmed Lesson Request pursuant to Globalcitizen Terms and other Globalcitizen Policies. You further acknowledge and agree that Globalcitizen and the relevant Student will not have any liability for such cancellations or refunds.
Globalcitizen collects commission fees when successful completion of a Lesson is confirmed by an individual Student and or Group. For each successfully completed Lesson, a "Commission Fee" is charged by Globalcitizen. The Commission Fee will be deducted upon the transfer of Globalcitizen Credits from the Student’s Account to the Teacher's Account.
The balance shown in the Teacher Wallet is the full balance after all fees have been deducted and will be directly related to the Teacher Fee agreed upon for each individual Lesson/Package Requests accepted by the Teacher. Amounts may be rounded up or down as described the "Rounding Off" section below.
To the extent any refunds are issued to a Student, no Commission Fees will be charged to the Teacher with respect to Globalcitizen Credits that are refunded back to the Student.
Teachers shall not to engage in any action or activity meant to circumvent the Commission Fees, with such actions or activities including, but not limited to, the following: (i) suggesting, soliciting, or accepting payment outside of the Globalcitizen Platform and the Globalcitizen Retail Associates/Partners Network Worldwide, or by other means other than through the Payment Services; or (ii) reporting or listing an inaccurate price for a Lesson on the Globalcitizen Platform, or (iii) charging a fee for a Lesson that is different from the amount agreed between the Globalcitizen Retail Associates/Partners and the Teacher for a specific Lesson/Package Request.
When withdrawing Globalcitizen Credits, you may be charged additional fees by the third party that provides the applicable Withdrawal Method. These fees are not under Globalcitizen's control, and Globalcitizen disclaims all liability in this regard. Whatever Withdrawal Method you use may be subject to additional terms and conditions, which we recommend that you review before using such Withdrawal Method.
Withdrawals from the Teachers Account are typically made at the beginning of each following month and are made by Globalcitizen through the Teachers designated Withdrawal Method.
If Globalcitizen determines that a Teacher's actions may have resulted or will result in a significant number of disputes, refunds or other claims from Students who purchased such Teacher’s Lessons, Globalcitizen reserves the right to delay or stop the disbursement of all funds accrued in such Teacher's Teacher Account. If Globalcitizen reasonably concludes that a Teacher has violated the Globalcitizen Terms or other Globalcitizen Policies, Globalcitizen may refuse to disburse the funds accrued in such Teacher's Teacher Account and debit such funds from the Teacher Account.
Globalcitizen may, in its sole discretion, round up or round down amounts that are payable from or to Teachers or Students to the nearest whole functional base unit in which the currency is denominated (e.g. to the nearest Euro); for example Globalcitizen may round up an amount of €101.50 to €102.00, and may round down an amount of €101.49 to €101.00.
A Teacher may accept Lesson Requests that include more than one Lesson in a single package (each such lesson package, a "Lesson Package"). Students are expecting to complete all Lessons in the Lesson Packages within six (6) months of the purchase date (the "Package Expiration Date"). If there are any remaining Lessons that have not been completed on or before the Package Expiration Date, Globalcitizen will send reminders to both the Student and the Teacher prior to the applicable Package Expiration Date. The Student may extend the Lesson Package on the Student’s Globalcitizen Account before the applicable Package Expiration Date, but if the Student fails to do so, then all remaining Globalcitizen Credits in the package will be sent to the Teacher, minus Globalcitizen's Commission Fees.
Teachers shall be solely responsible for determining their applicable tax related duties in connection with the income obtained from their Teacher Services, and shall also be solely responsible for remitting to the relevant authority any applicable taxes that need to be paid. Globalcitizen cannot and does not offer tax-related advice to any Members.
You acknowledge that: (1) Globalcitizen is not a bank, and Student and Teacher Accounts are a payment service rather than a banking service; and (2) Globalcitizen is not acting as a trustee or fiduciary with respect to your funds, but is acting only as an agent and custodian. (3) GLOBALCITIZEN IS NOT A BANK, AND AMOUNTS TRANSFERRED THROUGH OR STORED IN STUDENT ACCOUNTS OR TEACHER ACCOUNTS ARE NOT INSURED DEPOSITS.
Globalcitizen Credits in a Globalcitizen Account will be valid for so long as the Member remains active on Globalcitizen. If any Member’s Globalcitizen Account has been inactive for more than twelve (12) months, the Globalcitizen Credits will expire. Credits can be reactivated by contacting Globalcitizen customer support with a reactivation request, with the condition that the credits have been expired for less than 12 months. Credits can be reactivated only one time, and will be valid for 12 months after the reactivation. Any activity in the credits will extend the expiration date of the credits an additional 12 months.
Globalcitizen Credits are tied to Euros. Globalcitizen is not responsible for currency fluctuations that occur when billing or crediting a credit or debit card denominated in a currency other than Euros, nor is Globalcitizen responsible for currency fluctuations that occur when receiving or sending payment via third party payment services when purchasing Globalcitizen Credits or withdrawing an Globalcitizen Credit balance.
Globalcitizen Credits are valid only when purchased on the Globalcitizen Platform or through authorized Globalcitizen Retail Associates/Partners. Globalcitizen Credits in the form of Globalcitizen gift cards or vouchers cannot be resold or redeemed for cash. Globalcitizen Credits redeemed from gift cards or vouchers purchased through unofficial sources or channels are subject to cancellation without notice.
As a security measure, Globalcitizen may impose transaction limits on some or all Students and Teachers relating to the value of any transaction or disbursement, the cumulative value of all transactions or disbursements during a period of time, or the number of transactions per day or other period of time. We will impose these limits before any services are rendered if we determine it is necessary for security reasons or the prevention of fraud.
Globalcitizen reserves the right to void Globalcitizen Credit purchases if purchases are found to be fraudulent. This includes Globalcitizen Credits that have been redeemed from fraudulent Globalcitizen gift card purchases.
Globalcitizen reserves the right to seek reimbursement from any Teacher or Student, if Globalcitizen, in its sole discretion, determines that erroneous or duplicate transactions have occurred. Globalcitizen may obtain such reimbursement by deducting from future payments owed to such Teacher, by reversing any Globalcitizen Credits to such Teacher's Teacher Wallet, or by seeking reimbursement from such Teacher by any other lawful means.
"Friendly Fraud" is when a person initiates a fraud dispute with a payment provider, claiming that their credit card (or other payment method) was not intended to be used. Because Globalcitizen does not offer refunds, users that disagree with the policy have tried to use Friendly Fraud to receive a refund.
This type of behavior is illegal and prohibited by all payment providers. Globalcitizen also strictly opposes Friendly Fraud. If Friendly Fraud is discovered, the Student's Globalcitizen Account will be deactivated, purchased credits will be confiscated, and the Student will be noted as a financial security risk.
In the case of honest mistakes, Globalcitizen can reverse the transaction. We strongly advise Students to contact Globalcitizen Customer Service to resolve any financial disputes.
In addition to complying with the restrictions regarding improper use of the Globalcitizen Platform described in Section 11 (Restrictions) of the Globalcitizen Terms, you understand and agree that you are solely responsible for compliance with any applicable laws, rules, regulations, and tax obligations that may apply to you in connection with the use of the Payment Services. In addition, you may not and you agree that you will not:
- Violate any local, state, provincial, national, or other law or regulation, or any order of a court, such as money laundering and internet fraud or theft;
- Use the Payment Services for any commercial or other purposes that are not expressly permitted by this Payment Policy;
- Use the Payment Services to transmit, distribute, post or submit any information concerning any other person or entity, including without limitation, personal contact information or credit, debit, calling card or account numbers, or photographs of others without their permission;
- Register any Payment Method or Withdrawal Method with your Globalcitizen account that is not yours or you do not have authorization to use;
- Attempt to probe, scan, or test the vulnerability of any Globalcitizen system or network or breach any security or authentication measures;
- Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Globalcitizen or any other third party (including another Member) to protect the Payment Services;
- Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Payment Services to send altered, deceptive or false source-identifying information;
- Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Payment Services;
- Use credit cards or other payment methods fraudulently;
- Advocate, encourage, or assist any third party in doing any of the foregoing.
Globalcitizen has the right to investigate and prosecute violations of any of the above to the fullest extent of the law. In addition, and as set in this Payment Policy, Globalcitizen may take a range of actions against you, including but not limited to limiting access to your Globalcitizen Account and any associated Payment Services, for a violation of this Payment Policy.
In the event of a disagreement between a Teacher and a Student, Globalcitizen encourages the Teacher and Student to communicate directly through its official communication channels and attempt to resolve the disagreement. If a Teacher and Student are unable to resolve a disagreement and Globalcitizen is asked to mediate, Globalcitizen will have to look at all Live Lesson delivery materials (Lesson recordings) and Digital Classroom activity records regarding the dispute, which should show all key relevant information including the time, date and communication details. Although Globalcitizen will attempt to evaluate the dispute on an impartial basis, Globalcitizen will have the authority to resolve the dispute in its sole discretion, and Globalcitizen’s resolution of the dispute will be final. As a result, Globalcitizen shall have the right, in its sole discretion:
- To transfer credits, offer a refund, or reverse a transaction.
- To designate who shall bear the Commission Fee resulting from any such actions.

Globalcitizen - Teacher Policy
If you want to offer Teacher Services on the Globalcitizen Platform, you must read and agree to be bound by these policies for Teachers ("Teacher Policy"). Capitalized terms (including the term "Globalcitizen") used but not defined in this Teacher Policy have the meanings ascribed to such terms in our Terms of Service, which is available at www.globalcitizengital.com/policy (our "Globalcitizen Terms").
If you do not accept this Teacher Policy in full, you are not authorized to teach on the Globalcitizen Platform and you are not eligible to receive any benefits from Globalcitizen for any Teacher Services you provide.
This Teacher Policy is designed to encourage the highest standards of Teacher behavior in their relationships with Students as well as the achievement of the highest level of learning (Globalcitizen Principals) by setting clear goals and expectations, and to provide the principles to guide Teachers in their daily conduct when providing Teacher Services/Globalcitizen Services and interacting with Students.
However, as Globalcitizen provides lessons to Students worldwide, our Teachers come from all over the world and are thus accustomed to a variety of different cultural norms. As a result, this Teacher Policy attempts to adopt universally accepted standards of respect and tolerance. This Teacher Policy does not attempt to address every potential situation that could arise when Teachers interact with Students on the Globalcitizen Platform, but instead provides principles for ethical and professional behavior that can serve as guidance regarding Globalcitizen expectations.
1. Teacher Registration and Service Description
In order to become a "Teacher", you must first submit an application form together with a copy of your passport or other official identification card issued by the applicable government authorities either through the Globalcitizen Holding website https://globalcitizenholding.com/become-a-teacher/ or through your local Globalcitizen Associate/Partner’s website ("Teacher Application").
Your completed Teacher Application will be evaluated by Globalcitizen UK for approval.
If your Teacher Application is
approved, you’ll then have to attend an introductory Teacher Training Course (“GSTTIC
- Globalcitizen Specialists Teacher Training Introductory Course”). The
aim of this course is to familiarize yourself with all academic aspects of the
Globalcitizen Methodology (standards and principals) as well as all
Globalcitizen Educational Suites and Programs offered. You’ll also learn how to
use the Globalcitizen Digital Platform for lesson delivery in both synchronous
and asynchronous form.
Having completed the course, you’ll take a test (GSAT - Globalcitizen Specialists Approval Test) where you’ll have to prove that you meet all necessary requirements to provide Globalcitizen Lessons/Packages to your Students in both synchronous and asynchronous form using the Globalcitizen Standards & Methodology.
Once you have successfully passed your Test, you’ll then be awarded with the title of the Globalcitizen Specialist® and your member status will be changed to "Teacher".
You’ll then be able to create and manage a Teacher profile, and you can begin providing "Teacher Services" including offering and providing paid lessons ("Lesson") to Students through the Globalcitizen Digital Platform.
To the extent permitted by applicable law, Globalcitizen may obtain (i) background check reports from public records or through third party venders regarding matters such as criminal convictions or sex offender registrations, and/or (ii) identity verification check reports. As a condition of applying to become a Teacher, you agree and authorize us to use your personal information, such as your full name and date of birth, to obtain such reports. In order to obtain such identity verification check reports, you further agree and authorize us to provide the copy of your passport or official identification card you submitted with a third-party vender.
All Teachers must create a description of their Teacher Profile and Services offered to be displayed on the Globalcitizen Digital Platform as well as on the website of your local Globalcitizen Retail Associate/Partner.
When creating the description of your Teacher Services, you agree to the following:
- Provide your Teacher moto and give a brief description of yourself as a person and as a Teacher. You must write a few words for why potential students should prefer you as a Teacher.

Introductory Video where you’ll briefly inform potential Students about
you as a person, your academic knowhow and expertise as well as why
students should choose you.
You’ll have to present yourself in your native language as well as in English (for international students) plus the language/s you’ll be teaching.
- Provide information about your availability for lesson delivery (Schedule - days and time)
- Do not advertise any third-party teaching service, platform, software, or application; and
- Do not include any personal contact information, including but not limited to, email, telephone number, or social media account number.
Your Teacher profile will also be submitted to your local Globalcitizen Retail Associate/Partner for it to be posted on their website.
The Teachers will mainly be providing Globalcitizen Services/Lesson Packages through the Globalcitizen Digital Platform.
Globalcitizen Services/Lesson Packages are delivered either in Private or Group lessons to Students by Teachers. Group lessons are either Scheduled or Ad-hoc. Private lessons are by default Ad-hoc.
Students, contact a Globalcitizen Retail Associate/Partner through their local website/office and select the Globalcitizen Service / Lesson Package they would like to acquire (Globalcitizen Suite/Program) in either Scheduled Groups, Ad-hoc Groups or Private lessons.
Scheduled Group Lesson Packages
Scheduled Group Lesson Packages are communicated to relevant Teachers according to subject and level of study by local Globalcitizen Retail Associate/Partners and both come to an agreement well in advance of the official Lesson start date.
The Scheduled Group Lesson Packages are then announced - posted on the Globalcitizen Retail Associate/Partner’s website and advertised in both physical and digital form.
Ad-hoc Group and Private Lesson Packages
Ad-hoc Group and Private lessons, as they come during the year, are once again communicated to relevant Teachers according to subject and level of study by the Globalcitizen Retail Associate/Partner and they both come to an agreement before the Lesson start date.

the Globalcitizen Retail Associate/Partner and the involve Student/s before
lessons can start.
The Lesson Contract has to be honored by all parties involved. You can find more detailed information on the Globalcitizen Payment Terms.
NOTE: Teachers can provide lessons to their own Students through the Globalcitizen Digital Platform if they wish, in order to benefit from all services provided. For this they’ll have to contact their local Globalcitizen Retail Associate/Partner and come to an agreement for the Services to be provided by Globalcitizen to the Teacher and his/her Student/s.
Teacher Service requests come in the form of:
i. Initial Requests for Globalcitizen Service/Lesson Package delivery by a Globalcitizen Retail Associate/Partner (Accept/Decline)
ii. Lesson Cancelation or Lesson Change Requests during the Service delivery period by a Globalcitizen Retail Associate/Partner or by a Student (only for private lessons)
Once you receive any of the above types of Teacher Service requests, you agree to the following:
- Use the Globalcitizen Platform or the Globalcitizen Retail Associate/Partner’s website to manage all Teacher Service requests;
- Respond promptly to all Teacher Services related communications, whether from Globalcitizen or from an individual Student;
- Respond to all Teacher Services requests with accept, decline, or propose a time/date change. Do not ignore Teaching Service requests.
All Teachers are expected to comply with the following policies when providing a Lesson:
- Commit to your scheduled Lesson. A scheduled Lesson is a commitment you make with a Group or individual Students. Reschedule or cancel as a last resort and only after you have communicated this with the Globalcitizen Support Service and/or your Student. If you know you will be away and unable to respond to Requests for a certain period, take the responsibility to notify the Globalcitizen Support Service and your Students of your absence and update the availability information on your Globalcitizen Account profile accordingly.
Teachers should maintain a record of all important details of
communications with Globalcitizen and Students pursuant to Section 2.1(3).
If there is a dispute between Teacher and Student, Globalcitizen will request both Teacher and Student to provide evidence in the format of screenshots, and such screenshots shall contain all information related to such dispute, such as the date, time and other communication details.
In this case, Globalcitizen will also be able to use all available material posted within the Teacher – Student/s Learning Space (Digital classroom) such as Lesson Video Recordings, blog posts, lesson assignments etc as a means of finding information to further investigate Teacher – Student claims.
- Start Teacher Services on time. Teachers should start Lessons on time and should be particularly cautious especially with new Students and on first Lessons.

In case of Group lessons, the Teacher will start the lesson as soon as at least one student is present. The Teacher can wait a maximum of 5 minutes for others to join before he/she can officially start the lesson if he/she wishes to do so.
In case of Private lessons, if a Student is late for a scheduled Lesson, the Teacher should wait for the Student until the end of the period for the scheduled Lesson.
The Teacher should be available to start the Lesson at any time during the scheduled period for the Lesson. The Teacher is not, however, required to make up for lost time due to the Student's late arrival.
- End Lesson on time. Teachers should politely let Students know that their lessons are ending by reminding them before the end of the Lesson time period. You may politely tell the Student that you need to prepare for an upcoming Lesson with another Student.
- Rescheduling a Lesson due to Student’s absence. If a Student fails to attend a Lesson and requests to reschedule the class, it is entirely up to the Teacher’s to agree or reject it.

If you will be unable to provide your Teacher Services at the time previously agreed between you and an individual Student or a Group, you agree to immediately inform the Globalcitizen Support Team (who will in turn inform the Student/s) that you are unable to provide your Teacher Services at the scheduled time, and provide them with an explanation. If you were unable to inform them in advance due to an emergency, you are required to give an explanation as soon as you are able to do so.
After obtaining the consent from the Globalcitizen Support Team, a Teacher may cancel or reschedule any scheduled Teacher Service (including a Lesson) at any time that is more than 24 hours before such Teacher Service is scheduled to start.
Canceling or rescheduling a Teacher Service must be handled through the Globalcitizen Platform, and by following the cancellation and rescheduling process.
Except in the rare case of true emergencies, no Teacher Service (including a Lesson) may be cancelled or rescheduled by a Teacher or Student within 24 hours of the start time for such Teacher Service.
After you provide any Teacher Services, you agree to the following:
- Payment for Services successfully provided will be handled by Globalcitizen as stated on the Payment Terms.
- Provide helpful, objective, balanced end of month reports for individual Students and Groups.
You also agree the following additional guidelines in connection with providing your Teacher Services on the Globalcitizen Platform:
- Maintain records of all invoices and payments in connection with your Teacher Services;
- Cooperate with Globalcitizen in any anti-fraud actions and in resolving any disputes; and
- Report any violation of the Globalcitizen Terms or any other Globalcitizen Policies, including misuse of ratings and feedback.
Respect the values and traditions of your Students. Unless specifically requested by the Student, please avoid asking about the following:
- Your Student’s personal life. For example, do not ask a Student whether he or she is married, or whether he or she has a girlfriend or boyfriend.
- Your Student’s political affiliations. For example, do not ask a Student whether he or she supports a particular political party or ideological view.
- Your Student’s religious affiliations. For example, do not ask a Student if he or she believes in God or identifies with a particular religious group.
Since Students come from different backgrounds and have different language abilities, it is important to be patient and polite. Help them through their language learning difficulties. Be encouraging, not discouraging.
- Do not berate, yell at, or insult a Student. Do not tell a Student he or she is incompetent or insult their current level of language ability.
- Do not use rude or offensive language with a Student. Instead, use respectful language and speak to Students with professional courtesy.
- Do not lose your temper with a Student.
If you are not sure that whether you are able to handle a situation with composure, you are welcome to contact Globalcitizen Support Service for help, or to suggest that a Student contact Globalcitizen Support Service to resolve an issue.
Teachers must take the initiative in communicating with and managing Students. In addition to the Teacher Services guidelines described in Section 2 (Teacher Services Guidelines), Teachers are expected to provide Teacher Services in a professional manner, which includes:
- Being responsive. You should respond to messages from Students promptly. When you receive a Teacher Service request from a Student, you should respond within 48 hours OR before the start time proposed by the Student for the Teacher Service (whichever is sooner). The Globalcitizen Platform will send you notifications when a Student send you a message or a Teacher Service request, but we recommend that you login to your Globalcitizen Account at least twice a day to check and respond to messages and Teacher Service requests.
- Actively manage your calendar and profile. Maintain your calendar to accurately reflect the times you are available to provide Teacher Services. When you login to your Globalcitizen Account, you should check and adjust your time availability schedule, and update your status. If you plan to take time off from providing Teacher Services, update your profile accordingly so that you will be removed from active Teacher listings.
- Use the language that you are Teaching. Students are paying for you to teach them a new language. Do not use the Student’s native language to communicate, instead use the language that you are teaching as much as possible and encourage your student to do the same. Give them as much speaking time as possible.
- Provide accurate and respectful feedback. Globalcitizen provides a feedback and rating system to allow Students to publicly express their opinions to their Teacher’s instruction quality. Globalcitizen does not monitor, censor, or investigate feedback and rating posts unless a problem is brought to our attention. If you believe a particular Student’s feedback or rating is improper, untrue or violates Globalcitizen Terms or Globalcitizen Policies, please the incident to Globalcitizen customer service.
You are expected to perform any Teacher Service in a manner that satisfies the teaching standards described above and results in a consistently high level of Student satisfaction. You are in breach of this Teacher Policy, if you:
- Fail to deliver any Teacher Service for which payment was accepted;
- Fail to take reasonable efforts to resolve a dispute with a Student;
- Create unacceptable levels of Student dissatisfaction; or
- Violate any Globalcitizen Terms or any other Globalcitizen Policies.
Globalcitizen reserves the right to take any of the following actions at any time and in its sole discretion:
- Cancel your listed Teacher Services;
- Limit your Globalcitizen Account privileges;
- Adjust your Teacher Wallet balance and/or freeze or suspend your Teacher Wallet;
- Suspend or terminate your Globalcitizen Account; or
- Contact law enforcement or seek legal remedies.
The terms of this section regarding Teacher Content applies to all Teachers providing Teacher Services on the Globalcitizen Platform, in addition to the terms of Section 10 (Member Content) of the Globalcitizen Terms.
Any articles, video or any other materials used in your Teacher Services or submitted to the Globalcitizen Platform in connection with your Teacher Services, such as your introduction video (the "Teacher Content"), constitute Member Content. As a result, pursuant to this section and Section 10 (Member Content) of the Globalcitizen Terms, you own the copyright to your Teacher Content, and Globalcitizen does not claim any ownership rights in any Teacher Content. Teacher content however has to be in accordance with and abide with the rules and standards set by Globalcitizen for Globalcitizen Service/Lesson Package delivery.
You hereby grant each Student who purchases your Teacher Services a right to view and use, your Teacher Content that you use in providing your Teacher Services to such Student solely for personal and noncommercial educational purposes. You acknowledge that all of the representations, warranties, license grants and other provisions contained in Section 10 (Member Content) of the Globalcitizen Terms apply to all of your Teacher Content that you submit to the Globalcitizen Platform.
In addition, you also grant the license to Globalcitizen to use, view, copy, modify, distribute, publish and otherwise exploit your Member Content (including your Teacher Content) pursuant to Section 10 (Member Content) of the Globalcitizen Terms, you hereby grant Globalcitizen a license to use your Teacher Content (including your introduction video) and information about your Teaching Services in marketing, advertising and promotion of the Globalcitizen Platform in any medium. For the avoidance of doubt, Globalcitizen may publish your introduction video to Globalcitizen’s official channels in third-party video hosting and streaming services, such as Youtube, Vimeo etc. Globalcitizen will remove any Teacher introduction videos from our official channels on third-party video hosting and streaming services upon written request from such Teacher sent to Globalcitizen customer service. You also grant Globalcitizen the right to use your profile name as part of our marketing, advertising and promotion of the Globalcitizen Platform.
You also grant Globalcitizen the right to view and use your Teacher Content as posted on the Globalcitizen Learning Space (Digital Classroom) for technical and academic support, ability to check if all Globalcitizen Academic Standards are being met as well as in cases of Teacher Vs Student disputes for Globalcitizen to have an objective view on the mater.
In addition to complying with the restrictions regarding improper use of the Globalcitizen Platform described in Section 11 (Restrictions) of the Globalcitizen Terms, you agree not to, and will not assist, encourage, or enable Students or other Teachers to:
- Provide or post false, misleading, inaccurate, or plagiarized information on the Globalcitizen Platform, including in your Teacher profile, course content, lesson history and feedback.
- Fail to establish or maintain your Globalcitizen Teacher profile to ensure that it contains complete, accurate, and updated information.
- Provide your Teacher Service, including offering and providing Lessons, to any "fake" Students that uses Globalcitizen Account created by yourself or any third party to drive up your lesson counts and ratings in bad faith.
- Forge or alter your education background, curriculum vitae, work experience or certificates.
- Advertise or promote third party language learning services.
- Encourage or allow Students to work with you outside of the Globalcitizen Platform or accept payment outside of the Globalcitizen Platform and the Globalcitizen Retail Associates/Partners Worldwide. If a Student asks you to provide Teacher Services outside of the Globalcitizen Platform, please remind the Student that lessons must be scheduled and paid for through the Globalcitizen Platform and the Globalcitizen Retail Associates/Partners. You can report the Student or contact Globalcitizen customer support.
In the event that you violate the prohibitions set forth in this section, Globalcitizen reserves the right to immediately suspend or deactivate your Globalcitizen Account. Globalcitizen also reserves the right to confiscate any earned Globalcitizen Credits (as defined in the Payment Policy), and you may lose access to your lesson and teaching history on the Globalcitizen Platform. If you believe that others have violated these prohibitions, or if you are not sure whether any specific actions would violate these prohibitions, please contact Globalcitizen customer support immediately.

- You can’t use “Globalcitizen” in the name of your software (including Mobile apps).

- You can’t use “Globalcitizen” in your domain name.
- You can’t use “Globalcitizen” in advertising-related keywords (such as Adsense).
